Charter of the Boston Guangzhou Association
Chapter I: Purpose
- The Boston-Guangzhou Fellowship Association is a non-profit civil organization based in the Boston area of the United States. Its mission is to assist members in adapting to a new environment and establishing themselves in the U.S., while safeguarding the legitimate rights and interests of the overseas Chinese community.
- The Association provides a platform to facilitate connections and gatherings among overseas Chinese residents and travelers in the region, promoting mutual understanding, friendship, and shared progress.
- It is also committed to enhancing cultural, commercial, and informational exchanges between the people of China and the United States, and to fostering grassroots friendships between the two communities.
Chapter II: Membership
- Any local or foreign resident of the Boston area who supports the objectives of the Association and is willing to develop relationships and grow together with the Association may apply for membership. The Association welcomes individuals from Guangzhou as well as other overseas Chinese communities.
- Membership is obtained through a personal application, referral by an existing member, and completion of the registration process.
Chapter III: Rights and Responsibilities
Rights:
- The right to vote and to be elected.
- The right to enjoy the benefits of the Association and to participate in its activities.
- The right to provide suggestions to improve the work of the Association.
Responsibilities:
- To comply with the bylaws and the decisions made by the General Assembly and the Board of Directors.
- To pay membership dues on time.
Chapter IV: Organization
- The highest authority of the Association is the Board of Directors, which is responsible for formulating policy, reviewing financial matters, discussing and deciding on major issues, and approving the election of administrative personnel.
- In special circumstances, an extraordinary general meeting may be convened if requested by more than half of the members.
- The Board of Directors comprises five Executive Directors and several Directors. From among them, a President and Vice President will be elected, and positions such as Treasurer, Liaison Officer, and Secretary will be appointed. The term of office is two years. These officers are responsible for implementing board decisions and handling daily operations.
- To strengthen ties with the broader community and expand the Association’s reach, the Board may appoint distinguished individuals, prominent community members, and those who have made significant contributions to the Association as Honorary Presidents, Honorary Directors, or Advisors.
Chapter V: Funding
- Membership Dues and Donations: The initial membership fee is $15, with an annual renewal fee of $15 thereafter.
- Revenue from Events and Services: The Association may organize various service-oriented activities to raise funds.
- Foundation: The Association plans to establish the Boston-Guangzhou Fellowship Association Foundation and welcomes sponsorship from members and supporters in the wider community.
Chapter VI: Supplementary Provisions
- Matters not covered in these bylaws may be proposed by members and amended upon approval by the Board of Directors.
- These bylaws are available in both Chinese and English versions, both of which hold equal legal validity. In case of any discrepancy, the version filed with the Massachusetts government shall prevail.
